Welcome to PRISM Solutions Group, LLC (“PRISM,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern access to and use of PRISM’s services, platform, communications, and any related materials (collectively, the “Services”). By accessing or using PRISM’s Services, you agree to be bound by these Terms.

1. Eligibility and Intended Users

PRISM’s Services are intended solely for licensed attorneys and law firms. By using PRISM, you represent and warrant that you are a licensed attorney in good standing or an authorized representative of a law firm. PRISM does not offer services to consumers and does not provide legal advice or representation to the public.

2. Nature of Services

PRISM is a consulting, intake support, and lead generation provider. Services may include, but are not limited to:

Intake screening and administrative support
Marketing facilitation and lead sourcing
Delivery of potential client inquiries

PRISM is not a law firm and does not provide legal advice, legal representation, or legal services.

3. No Attorney-Client Relationship

Use of PRISM’s Services does not create an attorney-client relationship between PRISM and any user or third party. Any attorney-client relationship is formed solely between the attorney and their client.

4. No Endorsement or Guarantee

PRISM does not recommend, endorse, or guarantee any attorney, law firm, or legal outcome. Attorneys are solely responsible for evaluating and accepting potential clients and for all legal services provided.

5. Attorney Responsibilities and Compliance

Participating attorneys agree to:

Maintain all required licenses and remain in good standing
Conduct independent conflict checks prior to accepting any matter
Comply with all applicable laws and rules of professional conduct, including advertising, solicitation, and fee-sharing regulations
Independently verify all information received through PRISM

PRISM disclaims any responsibility for an attorney’s compliance with ethical or legal obligations.

6. No Guarantee of Leads or Results

PRISM does not guarantee the volume, quality, or outcome of any leads, inquiries, or engagements. Any projections, estimates, or ROI discussions are illustrative only and not guarantees of performance.

7. Fees and Payment

Fees for PRISM’s Services will be outlined in a separate written agreement between PRISM and the participating attorney or law firm.

Unless otherwise agreed:

Fees are non-refundable
Payment terms must be strictly adhered to
Failure to pay may result in suspension or termination of Services

8. Confidentiality and Data Handling

PRISM takes reasonable measures to safeguard information transmitted through its Services. However:

Information shared with PRISM is not protected by attorney-client privilege
Attorneys are responsible for securing and handling client information in compliance with applicable laws
Users agree not to submit highly sensitive or confidential information through PRISM systems unless appropriate safeguards are in place

9. Intellectual Property

All content, materials, processes, and systems used by PRISM—including branding, workflows, and methodologies—are the property of PRISM and may not be copied, reproduced, or distributed without prior written consent.

10. Limitation of Liability

To the fullest extent permitted by law, PRISM shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the use of its Services.

PRISM’s total liability, if any, shall not exceed the amount paid by the participating attorney to PRISM in the preceding three (2) months.

11. Indemnification

You agree to indemnify, defend, and hold harmless PRISM, its owners, employees, and affiliates from and against any claims, damages, or liabilities arising out of:

Your use of PRISM’s Services
Your legal practice or representation of clients
Your violation of these Terms or applicable laws

12. Termination

PRISM reserves the right to suspend or terminate access to its Services at any time, with or without cause, including for non-payment or violation of these Terms.

13. Modifications

PRISM may update or modify these Terms at any time. Continued use of the Services constitutes acceptance of any revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.
